Terms of Service

Welcome to CoHive, a platform where You can Connect & Belong. Please read these Terms of Service (“Terms”, “Agreement”) carefully. These Terms constitute a legally binding agreement between You and CoHive, a Pennsylvania LLC, (“Us”, “We”, “the Company”). By using CoHive, you (“You”, “User”) agree to be bound by this Agreement on the CoHive Platform (“Platform”). The Platform includes the CoHive.me website, mobile applications, related services, information, and communications. 

The use of all Your personal data that You submit to CoHive is governed by our Privacy Policy Agreement. A copy of the agreement is available here. You acknowledge that by using the CoHive Platform that You have read and agree to the Privacy Policy Agreement. 

By using the Platform, You represent and warrant that You are at least 13 years of age and You hereby agree to be bound by all the following provisions of the Terms of Service, which form a legally binding contract. You further represent and warrant that You are not a competitor of CoHive LLC or any of its affiliates. If You do not agree to these Terms, You are prohibited from using the Platform and must immediately discontinue use.

About CoHive

This Platform provides information and access to other like minded people looking for roommates, looking for responsive landlords/housing, and looking to post campus events and other information within a community or service area. The Platform also provides enhanced communications with landlords that may include hiring a facilitator to contact the landlord on Your behalf. CoHive does not repair, broker, lease, or sub-lease apartments or homes and is not a party to those transactions and does not guarantee any transactions between landlord and tenant. You are strongly advised to do Your own research and inspection of any property You may wish to lease. By using this Platform, You acknowledge that availability of any property listed is subject to change at any time by the landlord. Similarly, CoHive does not guarantee that You will find a roommate or that any roommate that You may connect with will be compatible with You over time. 

User Content - Public Areas, Acceptable Use

You understand that all postings, messages, comments, text, files, images, photos, videos, sounds or other materials (“content”) posted on, transmitted through, or linked from the CoHive Platform, are the sole responsibility of the person from whom such content originated. Specifically, You are entirely responsible for the content that You post, email, text or otherwise make available through the Platform. You understand that CoHive does not control, and it is not responsible for content made through its Platform and that by using the Platform You may be exposed to content that is offensive, indecent, inaccurate, misleading, or otherwise objectionable. 

CoHive will not edit Your posts on the Platform whether they are event posts, incident reports, chats, or roommate/group/places listings under any circumstances. You own Your own words, and You are responsible for what You say. CoHive may, at its discretion, delete content from the Platform. The Following is a non-exhaustive list of material that is inappropriate and subject to deletion at any time: 

  • Obscene or vulgar language;

  • Pornography and obscenity, or any sexually-oriented material;

  • Abusive, harassing, or bigoted speech that harasses, degrades, intimidates or is hateful toward an individual or group of individuals on the basis of religion, gender, sexual orientation, race, ethnicity, age, or disability;

  • Material which CoHive believes to be copyrighted, proprietary, or to contain trade secrets;

  • Private information regarding individuals, or material that seems aimed at embarrassing or harassing individuals or invading their privacy;

  • Chain letters, pyramid schemes, solicitations, affiliate marketing, link referral codes, junk mail, spam, or other unsolicited commercial advertisements;

  • Irrelevant or off-topic material;

  • Repeated posts ("floods");

  • Posts likely to or apparently aimed at disrupting the forum;

  • Links to any of the above;

  • Content that impersonates any person or entity, including, but not limited to, a CoHive member, CoHive landlord, or CoHive employee;

  • Content falsely stating or otherwise misrepresenting Your identity or affiliation with a person or entity.

  • Any Content not generated by a human being

  • Exploitation of minors

  • Any speech that promotes illegal activities

CoHive’s failure to delete material does not constitute any form of approval of that material, nor a modification of this policy. CoHive reserves the right to delete any messages or listings on the Platform for any reason whatsoever and at its discretion may revoke the access privileges of any individual, landlord, or business, either temporarily or permanently for breach of these Terms of Service, Privacy Policy, or any behavior that disrupts or endangers the CoHive platform or any member of it’s community. 

CoHive recognizes that the legal status of the internet is evolving, both through legislation and court precedent. CoHive will endeavor to keep abreast of these developments and may change the Terms of Service with or without notice in order to remain in compliance with any laws, regulations, or precedence.

The CoHive Platform  - Uploading Listings

As part of the Platform, CoHive allows You to upload Content for viewing by Users of the Platform as part of a Listing; such as a Roommate Profile, Group Profile, Place, Event, Sublet and Marketplace Listings. Each time You upload Content to the Platform, You confirm Your acceptance of, and Your agreement to be bound by, all the Terms of Service and Privacy Policy.

CoHive will not review, vet or approve, and is not responsible for reviewing, vetting or approving, the Content or any part of the Content, or any material appearing in the Content, and it is the sole responsibility of the user uploading the Content to ensure that the Content or any part of the Content, or any material appearing in the Content, complies with the Terms of Service and Privacy Policy.

Enhanced Incident Services and Upgraded Listing Services

In addition to free Connection and Communication Services, CoHive provides Enhanced Incident Services utilizing trained facilitators. The role of the facilitators is to support attempts to resolve Incident Reports. CoHive does not guarantee that You will get Your Reported Incidents handled by a landlord by using the Platform or by accessing the Enhanced Incident Services. 

CoHive provides Upgraded Listing Services that automatically boost Your profile, group, or place listing for 30 days on the Platform. CoHive also does not guarantee that You will find a roommate or a place to live by using the Platform or accessing the Upgraded Listing Services. 

Enhanced and Upgraded Services require a fee that may be adjusted from time to time. All payments for Enhanced/Upgraded Services are processed by Stripe. CoHive does not store credit card information. Once payment is complete, You will get immediate access to the Enhanced and Upgraded Services and CoHive will not refund any such payment under any circumstances.

The CoHive Platform Connects Users to Facilitators

The CoHive Platform enables connections between Users and facilitators for the fulfillment of Enhanced Incident Services. These facilitators will make three attempts to reach and connect with the Landlord per incident. Once Enhanced Incident Services is selected and paid for, it is non-refundable. CoHive can not guarantee that a facilitator will be able to make a landlord respond in a timely fashion with appropriate measures to remediate the incident on the property. Further, any measures that are undertaken by the Landlord are not a guarantee that the incident will be fully mediated. CoHive is not responsible for the workmanship, quality, competence, qualification of any hired contractors or service providers that the Landlord hires to perform the work required. Furthermore, CoHive is not responsible for the communication of the Landlord with the tenants, contractors, and other service providers whether on or off the Platform. Finally, CoHive has no control over the timing, legality, or failure to provide any services or any actions by the Landlord. 

CoHive Facilitators

Any Reference to a CoHive Facilitator being credentialed or vetted indicates that the Facilitator has completed certain CoHive training and does not represent anything else. Any such description is not an endorsement, certification or guarantee by CoHive of the Facilitator’s skills or qualifications or whether they are licensed or insured. Instead, any such description is intended to be useful information for Users to evaluate their decision to use a Facilitator.

Billing and Payment

All payments for Enhanced and Upgraded Services are processed by Stripe. CoHive does not store credit card information. Once payment is complete, You will get immediate access to the Enhanced and Upgraded Services and CoHive will not refund any such payment under any circumstances including, without limitation, if CoHive terminates Your Access to the Platform for breaching these Terms of Service or Privacy Policy.

Mobile App Updates and Upgrades

By installing the CoHive Platform, You consent to the installation of the Platform and any updates or upgrades that are released through the CoHive Platform. The Platform (including any updates or upgrades) may (i) cause Your device to automatically communicate with CoHive’s servers to deliver the Platform functionality and to record usage metrics, (ii) affect Platform-related preferences or data stored on Your device, and (iii) collect personal information as set out in our Privacy Policy. You can uninstall the Platform at any time.

You acknowledge and agree that the availability of our mobile application is dependent on the third party stores from which You download the application, e.g., the App Store from Apple or the Android app market from Google (each an “App Store”). Each App Store may have its own terms and conditions to which You must agree before downloading mobile applications from them, including the specific terms relating to Apple App Store set forth below. You agree to comply with, and Your license to use our application is conditioned upon Your compliance with such App Store terms and conditions. To the extent such other terms and conditions from such App Stores are less restrictive than, or otherwise conflict with, the terms and conditions of these Terms of Use, the more restrictive or conflicting terms and conditions in these Terms of Use apply.

Pause Listing, Deactivation, and Suspension

If You wish to pause a roommate listing but keep Your account active, You may do so by going to Your user profile and unclicking the “currently looking” box. 

You may Deactivate Your account at any time, for any reason, by visiting account settings and locating “Delete Account”. Once an account is deleted, Your personal information and roommate, group, place listing will be removed from the Platform. 

CoHive may suspend or terminate Your Account for any of the following reasons:

  • You breach or violate any Terms of Service or Privacy Policy

  • Your ongoing use of the Platform will bring the reputation of CoHive into disrepute or cause CoHive to be in breach of an applicable law. 

Account, Password, Security, and Communications

You must register with CoHive and create an account to use the CoHive Platform. You are responsible for maintaining the confidentiality of any log-in and password provided by You or given to You by CoHive for accessing the Platform. You are solely and fully responsible for all activities that occur under Your password or account, even if not authorized by You. CoHive has no control over the use of any User’s account and expressly disclaims any liability derived therefrom. Should You suspect that any unauthorized party may be using Your password or account or You suspect any other breach of security, You agree to notify CoHive immediately here.

Your name may be displayed to other users of the CoHive Platform to enable You to connect, collaborate, and interact with them. Any Information, text or other content that You voluntarily provide or post on the site in the course of Your use of the Platform, including but not limited to, information in Your user profile, comments, questions, chats, answers, incident reports, etc., are publicly available and can be collected and used by others. Users of the Platform other than Yourself cannot access Your personal information, for example Your email address or telephone number, unless You give them access to that information. CoHive will not disclose to any user other than the intended recipient the contents of any messages sent through the messaging service available on the Platform. CoHive will not disclose to any user the content or source of any complaint made against, or feedback received, about that User (or any other User), including the nature, substance, or origin of that complaint or feedback. CoHive is not responsible for any information that You post on CoHive which may be redistributed through the Internet via screen captures and other recording means and may be viewed by the general public.  CoHive is not responsible for any unauthorized postings by other Users of the platform that are beyond our control. Please report any incidents that occur here. 

You acknowledge that telephone calls to or from CoHive, together with its agents and Affiliates, may be monitored and recorded for the purposes of quality control and training.

You verify that any contact information provided to CoHive, its agents and Affiliates, and Users, including, but not limited to, Your name, business name, mailing address, email address, Your residential or business telephone number, and/or Your mobile telephone number, is true and accurate. You verify that You are the current subscriber or authorized user of any telephone number that You provide. You are strictly prohibited from providing a phone number that You are not authorized to use. If we discover that any information provided in connection with Your registration is false or inaccurate, we may suspend or deactivate Your account. Should any of Your contact information change, You agree to update Your information in the Platform under Your user account.

By signing up for CoHive’s text marketing, You agree to receive recurring automated promotional and personalized marketing text messages. Reply HELP for help and STOP to cancel. Msg frequency varies. Msg & data rates may apply.

Intellectual Property Rights

You acknowledge and agree that all intellectual property rights in the CoHive platform including, but not limited to: text, images, sounds, moving images, animation, and design elements(including the look and feel) that are unique to CoHive, web and mobile pages, URL’s, software (including code, interface and website structure) are the sole property of CoHive or the relevant content supplier. 

You acknowledge and agree that You are permitted to use the CoHive Platform Content only as set out in these Terms of Service or as otherwise expressly authorized in writing by CoHive, and that You may not otherwise copy, reproduce, transmit, publicly perform, distribute, commercially exploit, adapt, translate, modify, bundle, merge, share or make available to any person, or create derivative works of the Platform.

Subject to Your compliance with these Terms of Service, You may reproduce or communicate any Platform Content appearing in any articles or blog posts appearing on the Platform that have been posted by CoHive as long as You credit CoHive as the source of any such content and provide a link to the Platform when reproducing or communicating such content, and such use is not disparaging to CoHive. 

Confidential Information

You acknowledge that Confidential Information (as defined below) is a valuable, special and unique asset of CoHive and agree that You will not, for the lifetime of Your account on CoHive plus 10 years thereafter, disclose, transfer, or use (or seek to induce others to disclose, transfer or use) any Confidential Information for any purpose other than use of the CoHive Platform in accordance with these Terms of Service. If relevant, You may disclose the Confidential Information to Your authorized employees and agents provided that they are also bound to maintain the confidentiality of Confidential Information. You shall use best efforts to protect Confidential Information from unauthorized disclosure, transfer or use. You shall promptly notify CoHive in writing of any circumstances that may constitute unauthorized disclosure, transfer, or use of Confidential Information. You shall return all originals and any copies of any and all materials containing Confidential Information to CoHive promptly upon deactivation of Your User account or termination of this Agreement for any reason whatsoever.

The term “Confidential Information”  shall mean any and all of CoHive’s trade secrets, confidential and proprietary information, and all other information and data of CoHive that is not generally known to the public or other third parties who could derive value, economic or otherwise, from its use or disclosure. Confidential Information shall be deemed to include technical data, know-how, research, product plans, products, services, customers, markets, software, developments, inventions, processes, formulas, technology, designs, drawings, engineering, hardware configuration information, marketing, finances, strategic and other Proprietary Materials and confidential information relating to CoHive or CoHive’s business, operations or properties, including information about CoHive’s staff, Users or partners, or other business information disclosed or obtained directly or indirectly in writing, orally or by drawings or observation.

Disclaimers

All names, logos, and brands of any college, university, or any other post-secondary educational institution (“Schools”) on our Platform are trademarks of their respective owners. CoHive and its products and services are not endorsed by, sponsored by, or supported by any third party unless specified on the CoHive Platform. 

The Company is not responsible for any problems or technical malfunction of any cable or communication network or lines, computer online systems, servers or providers, computer equipment, software, failure of email or players as a result of or related to technical problems or traffic congestion on the Internet or at any web site or combination thereof, including injury or damage to Users or to any other person's computer related to or resulting from participating or downloading materials in connection with the Web and/or in connection with the CoHive Platform.

Under no circumstances will the Company be responsible for any loss or damage, including personal injury or death, resulting from anyone's use of the CoHive Platform, any Content posted on or through the CoHive Platform or transmitted to Users, or any interactions between users, whether online or offline, affiliated with these Schools, and our use of these names, logos, and brands is for identification purposes only, and does not imply any such endorsement, sponsorship, or affiliation.

The CoHive Platform may be temporarily unavailable from time to time for maintenance or other reasons. CoHive assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of data.  

The CoHive Platform is not an emergency service. If Your rental unit is on fire, flooding, or any other emergency, please call Your local emergency response services by dialing 911. 

Indemnity

By agreeing to these Terms You agree to indemnify, defend, and hold harmless CoHive, our members, managers, officers, employees, affiliates, parent companies, subsidiaries, contractors, licensors, and suppliers from and against any and all complaints, charges, claims, damages, losses, costs, liabilities, and expenses (including attorneys’ fees) due to, arising out of, or relating in any way to (i) Your access to or use of the Platform; (ii) any User Content You post, upload, use, distribute, store, or otherwise transmit through the Platform; (iii) Your violation of these Terms; (iv) Your violation of the rights of another, including without limitation, any intellectual property right, publicity, confidentiality, privacy, or proprietary right;  (v) Your gross negligence; or (vi) Your violation of any statutes, codes, ordinances, laws, rules, regulations, including without limitation, all regulatory, administrative, and legislative authorities. 

Dispute Resolution

To expedite resolution and reduce the cost of any dispute, controversy or claim related to, arising from or regarding Your use of the CoHive Platform, Your relationship with CoHive, or this Agreement (including previous versions), (“Dispute”), You and CoHive agree to first attempt to negotiate any Dispute informally for at least 30 days before initiating any proceedings. In the event a dispute can not be resolved through informal negotiations, such Disputes are to be settled by binding arbitration in the state of Pennsylvania or another location mutually agreeable to the parties. The arbitration shall be conducted on a confidential basis pursuant to the Commercial Arbitration Rules of the American Arbitration Association. Any decision or award as a result of any such arbitration proceeding shall be in writing and shall provide an explanation for all conclusions of law and fact and shall include the assessment of costs, expenses, and reasonable attorneys' fees. Any such arbitration shall be conducted by an experienced arbitrator and shall include a written record of the arbitration hearing. An award of arbitration may be confirmed in a court of competent jurisdiction.

Any request for arbitration must be made in writing and delivered to the following address: Attention: Legal CoHive, L.L.C., 4 Hillside Rd, Newtown, PA 18940. Your address for such notices is the one associated with Your account, with an email copy to the email address You have provided to CoHive.

General Provisions

Failure by CoHive to enforce any provision(s) of this Agreement will not be construed as a waiver of any provision or right. This Agreement constitutes the complete and exclusive agreement between You and CoHive with respect to its subject matter, and supersedes and governs any and all prior agreements or communications except as otherwise specified. The provisions of this Agreement are intended to be interpreted in a manner which makes them valid, legal, and enforceable. All parts of this Agreement which by their nature should survive the expiration or termination of this Agreement shall continue in full force and effect subsequent to and notwithstanding the expiration or termination of this Agreement or Your use of the CoHive Platform.

In the event any provision is found to be partially or wholly invalid, illegal or unenforceable, (i) such provision shall be modified or restructured to the extent and in the manner necessary to render it valid, legal, and enforceable or, (ii) if such provision cannot be so modified or restructured, it shall be excised from the Agreement without affecting the validity, legality or enforceability of any of the remaining provisions. You hereby acknowledge and agree that we may assign or transfer this Agreement without Your consent, including but not limited to assignments: (i) to a parent or subsidiary, (ii) to an acquirer of assets, or (iii) to any other successor or acquirer. Upon the effective date of the assignment of the Agreement (i) CoHive shall be relieved of all rights, obligations and/or liabilities to You arising in respect of events postdating the effective date of the assignment and, (ii) the assignee entity shall replace CoHive for the performance of this Agreement. This Agreement may not be assigned or transferred by You without our prior written approval. Any assignment without such consent from CoHive shall be null and void. This Agreement will inure to the benefit of CoHive, its successors and assigns.

 Changes to this Agreement

CoHive reserves the right, at its sole and absolute discretion, to change, modify, add to, supplement, suspend, discontinue, or delete any of the terms and conditions of this Agreement (including the Terms of Service, Privacy Policy) and review, improve, modify or discontinue, temporarily or permanently, the CoHive Platform or any content or information through the CoHive Platform at any time, effective with or without prior notice and without any liability to CoHive. CoHive may also impose limits on certain features or restrict Your access to part or all of the Platform without notice or liability.

CoHive will endeavor to notify You of material changes to this Agreement by email or notification, but will not be liable for any failure to do so. If any future changes to this Agreement are unacceptable to You or cause You to no longer be in compliance with this Agreement, You must deactivate Your account, and immediately stop using the CoHive Platform. Your continued use of the Platform following any revision to this Agreement constitutes Your complete and irrevocable acceptance of any and all such changes, except where prohibited by any laws or regulations in Your jurisdiction.
